These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Genlocker, Inc. ("Genlocker," "we," "our," or "us") governing your use of the Genlocker website and digital estate vault service (collectively, the "Service").
Please read these Terms carefully before using the Service. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
Genlocker provides a digital document storage and access management service designed for estate planning purposes. The Service allows users to:
Genlocker is not a law firm, estate attorney, financial advisor, notary, or healthcare provider. The Service is a document custody and access management platform. Nothing in the Service constitutes legal, financial, medical, or professional advice. You should consult a qualified estate attorney for legal guidance specific to your situation.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are 18 or older and have the legal authority to enter into these Terms.
You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update your information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at security@genlocker.com if you suspect unauthorized access to your account.
You may not share your account with others or create accounts for others without their knowledge and consent.
The Service uses client-side encryption, meaning your documents are encrypted on your device before transmission. As a result:
You are responsible for the legality of all content you store in your vault. You agree not to store content that is illegal under applicable law.
You may designate beneficiaries who will receive access to specified vault contents upon your verified death. By designating beneficiaries, you acknowledge and agree that:
Genlocker will make commercially reasonable efforts to verify the authenticity of submitted death certificates. Our verification process includes human review and, where available, cross-reference with the Social Security Death Master File. Genlocker does not warrant that its verification process will detect all fraudulent submissions. Genlocker is not liable for losses resulting from fraudulently obtained or altered death certificates that pass verification review.
The Service requires a paid subscription for vault owners. Subscription fees are charged annually. Payment is processed by Stripe. By providing payment information, you authorize us to charge your payment method for the applicable fees.
Subscriptions renew automatically at the end of each billing period unless cancelled. To cancel, go to Account Settings or contact us at billing@genlocker.com. Cancellation takes effect at the end of the current billing period.
Refunds: If you cancel within 30 days of your initial subscription purchase, we will refund your payment in full. After 30 days, no refunds are issued for unused subscription periods.
Beneficiary accounts are free of charge.
You agree not to use the Service to:
Violation of these restrictions may result in immediate account termination without refund.
You may export your vault documents at any time through the Service dashboard. Upon account cancellation or termination, you have 90 days to export your data, after which your vault and all associated data will be permanently deleted.
Genlocker may suspend or terminate your account immediately if you violate these Terms or if we believe, in our sole discretion, that continued access poses a security risk.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Genlocker does not warrant that: (a) the Service will be error-free or uninterrupted; (b) the death certificate verification process will detect all fraud; (c) your vault contents will be accessible in all circumstances; or (d) the Service will meet all your estate planning needs.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GENLOCKER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
GENLOCKER'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO GENLOCKER IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Genlocker and its affiliates from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party right.
These Terms are governed by the laws of the State of [State to be determined at incorporation], without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
